General Terms and Conditions (GTC) for Creator Collaborations with weLike GmbH

1. Subject of the Collaboration

1.1
weLike GmbH, Shanghaiallee 9, 20457 Hamburg (hereinafter referred to as “weLike”), provides Creators (hereinafter referred to as “Creator”) the opportunity to integrate paid content on behalf of brands, products, services or copyrighted content (e.g. pieces of music) into their existing social media channels as part of cooperation campaigns. The object of the collaboration is the authentic integration of such content into the Creator's own content.

1.2
Participation is non-exclusive. Creators shall remain free to cooperate with other agencies or clients, as long as this does not conflict with a specifically agreed campaign. weLike shall also be entitled to provide comparable services for other Creators or competitors of the Creator. This shall only apply if nothing to the contrary has been agreed in a separate contract between weLike and the Creator.

1.3

Initial contact by weLike, an invitation to participate in a campaign or the transmission of briefings, suggestions or information does not constitute a binding offer to enter into a cooperation. There is no entitlement to participate in a campaign. weLike shall decide at its own discretion whether and in what form a Creator is selected and involved in a campaign.

2. Content Requirements and Creator Obligations

2.1
The Creator agrees to create all content independently. Re-uploads of external content, the use of third-party content (even in parts), as well as the use of AI-generated, automatically created or non-self-recorded video material (e.g. from gaming, series, films or other sources) is not permitted.

2.2
The content must be creative and of high quality. The creator undertakes to comply with the following minimum standards:

  • The length of the video must be at least 10 seconds
  • The video remains online for at least 28 days after publication
  • The video quality is technically flawless (no heavily pixelated, blurred or illegible images)
  • The video must be created in vertical format only (9:16) and must fill the entire screen
  • Freeze frames, screen recordings, and horizontal formats are not permitted

2.3
The Creator must implement the campaign briefing and guidelines provided by weLike accurately. Failure to meet these standards — whether content-related or formal — may result in the loss or reduction of any agreed compensation.

2.4

The Creator guarantees that all used content (especially images, music, videos, trademarks, personal rights of third parties) is legally permissible and does not infringe on third-party rights. The Creator indemnifies weLike from any third-party claims arising from such violations upon first request.

3. Special Terms for Music Placements

3.1
For campaigns that involve the placement of music tracks, the Creator must ensure that the song is clearly audible, prominently featured, and integrated into the content in a meaningful way.

3.2
The use of the music must be tailored creatively to the specific song. Simple background use without any visible or thematic relevance is not sufficient.

3.3
The following types of content are strictly prohibited for music placements:

  • Reuploads or edits from other accounts or platforms
  • Edits referencing other brands, songs, artists, shows, or films
  • Content that is offensive, violent, shocking, or discriminatory
  • Content referencing competing songs, labels, or music brands
  • Content created using automated tools (e.g., text-to-video, generative AI)

3.4
Violations of these terms entitle weLike to reject the content and – if compensation was agreed in advance – to withhold or cancel the payment.

4. Legal Framework

4.1
The Creator is solely responsible for complying with all legal requirements regarding advertising disclosure. Any paid collaboration must be clearly marked as such (e.g., “paid partnership,” “advertisement,” “sponsored”).

4.2
weLike assumes no liability for any legal violations by the Creator, particularly in connection with advertising disclosure or violations of platform guidelines.

4.3
All communication with clients, brands or third parties involved in a campaign shall take place exclusively via weLike. Direct or indirect contact between the Creator and clients is prohibited unless weLike has given its explicit consent. This regulation shall also apply for a period of three months after the completion of the campaign.

4.4

The Creator may not artificially manipulate engagement metrics. The use of bots, paid clicks, or other tools to artificially inflate performance is strictly prohibited. In the event of a violation, all claims to compensation are forfeited.

4.5

By publishing content created as part of a cooperation, the Creator grants weLike a simple, non-exclusive, geographically and temporally unlimited right of use to use this content (also in parts) for the purposes of internal documentation, self-promotion (e.g. website, social media, presentations, pitch decks) and for forwarding to the respective customer of the campaign. Any further promotional use by third parties (e.g. as a paid ad campaign) shall only take place with separate consent.

4.6

The Creator itself is responsible for ensuring that its published content - including the use of music, sounds, brands, images or other elements - complies with the guidelines and terms of use of the platform used in each case. weLike assumes no liability for any restrictions, takedowns, or sanctions issued by the platform operators.

5. Compensation and Payment Procedure

5.1
Where compensation has been individually agreed between weLike and the Creator, payment will be processed via a self-billing procedure. By accepting these GTC, the Creator explicitly consents to weLike issuing self-billed invoices on their behalf.

5.2
A requirement for the invoicing and payment of an agreed compensation is the complete and on-time transmission of all necessary information by the Creator, in particular:

  • Full name
  • Address
  • Date of birth
  • Email and phone number
  • IBAN and BIC
  • Bank name
  • Tax number or VAT ID
  • Applicable VAT rate (7 %, 19 %, or none under small business regulation)

5.3
Any agreed payment will be made no later than 30 days after the end of the campaign, provided that all required information has been submitted and the content has been delivered as agreed, with no objections raised.

5.4
Payment is made on condition that the respective Customer has made the corresponding payment to weLike. In case the Customer does not pay or only pays in part, any agreed compensation for the Creator is reduced proportionately. In this case, the Creator shall carry the risk of default.

5.5

A right to the agreed remuneration shall only exist if the service has been provided in accordance with the briefing provided by weLike or - if no formal briefing exists - in accordance with the parameters agreed with weLike in advance. In the event of deviating, incomplete or qualitatively inadequate implementation, the compensation may be reduced appropriately or, in justified cases, refused entirely.

5.6

The Creator is obligated to provide all information required for invoicing and payment – in particular name, address, bank details, and tax-related information (e.g. tax number, VAT ID, applicable VAT rate) – completely and truthfully. weLike accepts no liability for any disadvantages or damages resulting from incorrect, incomplete, or delayed information provided by the Creator. The Creator is solely responsible for any tax or legal consequences resulting from false or inaccurate information.

6. Confidentiality

6.1
All information provided to the Creator in connection with the campaign, the customer or the briefing is confidential.

6.2
The publication or forwarding of such information to third parties - even in part - is prohibited.

7. Tax Responsibility

7.1
The Creator is solely responsible for declaring and paying taxes on their income.

7.2
weLike accepts no responsibility for the tax treatment or reporting of payments made to the Creator.

8. Final Provisions

8.1

A cooperation agreement under these GTC is only established once the Creator explicitly accepts an invitation to participate in a campaign (e.g., via email, platform, or system). weLike reserves the right to withdraw from an accepted invitation at any time before publication for justified reasons (e.g., content issues, technical constraints).

8.2

If a separate, individually agreed contract between the Creator and weLike exists, its regulations shall take precedence over these General Terms and Conditions in case of contradictions. These GTC shall remain in effect supplementally, unless explicitly overridden.

8.3
It is mutually agreed that no employment, agency, joint venture, or corporate relationship arises from the collaboration.

8.4
Should any provision of these GTC be or become invalid, this shall not affect the validity of the remaining provisions. The invalid clause shall be replaced with one that most closely reflects the original economic and legal intent.

8.5
These GTC are governed exclusively by the laws of the Federal Republic of Germany. If legally permissible, the place of jurisdiction for all disputes shall be Hamburg.

9. Data Protection

9.1

To manage the cooperation, weLike is required to collect and process the Creator’s personal data. This includes, in particular, name, address, email address, date of birth, payment details, and tax-related information. The data is processed exclusively for the purpose of executing the campaign, processing payments, and issuing compensation. Personal data will only be shared with third parties if necessary for these purposes (e.g. payment service providers).
